Service availability, scope, and deliverables are defined in individual service agreements. We reserve the right to modify, suspend, or discontinue any aspect of our Services with reasonable notice to affected clients.
5. User Responsibilities
5.1 Acceptable Use
You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services to transmit harmful, offensive, or inappropriate content
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of our Services
- Reverse engineer, decompile, or attempt to extract source code from our proprietary tools

We grant you a limited, non-exclusive, non-transferable license to use the materials and deliverables provided as part of your service engagement, solely for your internal business purposes. This license does not permit you to:

- Remove or alter any copyright notices or proprietary markings

7. Payment Terms

Late payments may incur interest charges and may result in suspension of Services. We reserve the right to pursue collection of outstanding amounts through appropriate legal channels.
7.4 Refund Policy
Refund eligibility and terms are specified in individual service agreements. Generally, services already performed or training sessions conducted are non-refundable. Requests for refunds must be submitted in writing within the timeframe specified in your service agreement.
8. Service-Specific Terms
8.1 Workflow Audits
Workflow audits require access to your systems, processes, and personnel. Audit findings and recommendations are based on information available at the time of assessment. Implementation of recommendations remains your responsibility.
8.2 Training Programs
Training sessions are scheduled based on mutual availability. Participants must meet minimum technical prerequisites as outlined in the training curriculum. Training materials are provided for reference but remain our intellectual property.
8.3 Governance Frameworks
Governance frameworks are customized based on your business requirements and regulatory environment. You are responsible for ensuring that implemented frameworks comply with all applicable laws and regulations in your jurisdiction.
9. Disclaimers
Services are provided on an "as is" and "as available" basis. While we strive for accuracy and effectiveness, we make no warranties or guarantees regarding:
- Specific business outcomes or results from implementing our recommendations
- Uninterrupted or error-free service delivery
- Complete accuracy of all assessments and analyses
- Suitability for every specific business context or objective
Our Services provide professional consultation and guidance but do not constitute legal, financial, or regulatory advice. You should consult appropriate professional advisors for specific legal or regulatory compliance matters.
10. Limitation of Liability
To the maximum extent permitted by Thai law, singhaoes shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Business interruption or downtime
- Damages resulting from improper implementation of our recommendations
Our total liability for any claims arising from our Services shall not exceed the total fees paid by you for the specific service giving rise to the claim.
These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless singhaoes, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

12. Confidentiality

13. Termination
13.1 Termination by Either Party
Either party may terminate services according to the terms specified in the service agreement, typically requiring written notice 30 days in advance.
13.2 Immediate Termination
We reserve the right to terminate Services immediately if you:
- Violate these Terms or applicable laws
- Fail to make required payments
- Engage in fraudulent or harmful conduct
- Breach confidentiality obligations
13.3 Effects of Termination
Upon termination, you must cease using our materials and return or destroy all confidential information. Payment obligations for services rendered prior to termination remain in effect. Sections of these Terms that by their nature should survive termination (including intellectual property, confidentiality, and limitation of liability) shall continue to apply.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Thailand. Any disputes arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Thailand.
14.2 Informal Resolution

14.3 Arbitration
If informal resolution fails, disputes may be submitted to binding arbitration in accordance with the Arbitration Act of Thailand, conducted in Bangkok, Thailand, in the English language.
15. General Provisions

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and singhaoes regarding the Services.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or successor entity.
15.5 Notice

16. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email to active clients and posted on our website with an updated "Last Updated" date.
Continued use of our Services after changes become effective constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of the Services.
